  1. Virtual CD-ROM License Agreement
  2. Important: Read Before Continuing
  3.  
  4. The computer software programs supplied with Virtual CD-ROM are
  5. proprietary materials belonging to Logicraft.
  6.  
  7. Do not use Virtual CD-ROM unless you have read and agreed to the
  8. terms and conditions of this License Agreement. In using Virtual CD-ROM
  9. you are entering into a binding contract with Logicraft. If you do
  10. not agree with these terms and conditions, you should promptly return this
  11. entire package, and any related items furnished to you, to the entity from
  12. whom you obtained it for a full refund. In the case of electronic
  13. distribution, you must delete all software programs and documentation
  14. relating to this product.

  16. Definitions
  17.  
  18. The following definitions apply to the terms as they appear in this agreement.
  19. *    Logicraft means Logicraft Information Systems, Inc.
  20. *    Product means the Software and related Documentation.
  21. *    Software means all of the Virtual CD-ROM computer programs in machine
  22.     readable form contained in the Virtual CD-ROM package and any updates
  23.     to the computer programs.
  24. *    Documentation means the online help and other printed materials
  25.     accompanying the Software.

  27. License Grant
  28.  
  29. This License Agreement determines your rights with respect to the Product.
  30. Logicraft retains the ownership of the Software. By using this Software or
  31. permitting its use, you indicate your consent to the terms and conditions
  32. of this License Agreement.
  33.  
  34. Logicraft grants you a nonexclusive license to:
  35. *    Use the Client Software on any one compatible computer.
  36. *    Make up to two copies of the Software for archival purposes. In making
  37.     such copies, you agree to reproduce Logicraft's copyright notice and
  38.     any other proprietary notices that are on the original copies of the
  39.     Software.
  40. *    Transfer your copies of the Product to a third party provided that
  41.     you: (a)átransfer all components of the Product to the same third
  42.     party who agrees to be bound by the terms of this License Agreement;
  43.     (b) retain no copies of the Product, whether in printed or machine
  44.     readable form; (c) comply, at your expense, with any government
  45.     export controls and procedures; and (d) obtain and furnish to
  46.     Logicraft within 10 days the written consent of the third party to
  47.     abide by the terms and conditions of this License Agreement. This
  48.     transfer of possession terminates your license from Logicraft.

  50. You shall not:
  51. *    Use, copy, or transfer the Product except as provided in this License
  52.     Agreement.
  53. *    Alter, merge, modify, reverse engineer, or adapt the Product in any
  54.     way, including by disassembling or decompiling.
  55. *    Loan, rent, lease, or sublicense the Software.
  56.  
  57. This license will terminate automatically if you fail to comply with any of
  58. the terms of this License Agreement, and on any such termination you will
  59. destroy the CD-ROM disc and any back-up copies and delete all installations
  60. of the Software.
  61.  
  62. Logicraft retains all rights not expressly granted. The Software is
  63. protected by United States copyright and other federal and state laws.
  64.  
  65. Limited Warranty
  66.  
  67. Logicraft warrants that the disc on which the Software is distributed will
  68. be free from defects in materials and workmanship and that the Product will
  69. perform substantially in accordance with the Documentation for a period of
  70. 90 days from your receipt of the Product.
  71.  
  72. Logicraft will replace defective media or documentation or correct
  73. substantial software errors at no charge, provided you return the item with
  74. dated proof of payment to Logicraft within 90 days of the date of delivery,
  75. or, at Logicraft's sole option, Logicraft will refund the license fee.
  76. These are your sole remedies for any breach of warranty. Limited warranty
  77. does not extend to electronic distribution.

  79. Except as specifically provided above, Logicraft makes no warranty or
  80. representation, either express or implied, with respect to the Product,
  81. including its quality, performance, merchantability, or fitness for a
  82. particular purpose or that the use of the software and documentation will
  83. not infringe upon any third-party patent, copyright, trademark, or other
  84. rights.

  86. In no event will Logicraft be liable for direct, indirect, special,
  87. incidental, or consequential damages arising out of the use of or inability
  88. to use the Product, even if advised of the possibility of such damages. In
  89. no case shall Logicraft's liability exceed the amount of the license fee.
  90. The warranty and remedies set forth above are exclusive and in lieu of all
  91. others, oral or written, express or implied. No Logicraft dealer,
  92. distributor, agent, or employee is authorized to make any modification or
  93. addition to this warranty.
  94.  
  95. U.S. Government Restricted Rights
  96.  
  97. If the Product is licensed by or on behalf of a unit or agency of the
  98. United States government, this paragraph, in addition to the other
  99. provisions of this License Agreement applies. The Software is Restricted
  100. Computer Software as defined in FAR 52.227-14(a) and 52.227-19(a). Use,
  101. duplication, and disclosure by the government is subject to restrictions
  102. set forth in FAR 52.227-19(c).
  103.  
  104. General
  105.  
  106. This License Agreement constitutes the entire agreement between you and
  107. Logicraft with respect to the Product and supersedes all prior or
  108. contemporaneous agreements, written or oral, between the parties as to the
  109. subject matter hereof. No modifications or amendment to this License
  110. Agreement shall be binding unless in writing and signed by you and
  111. Logicraft. In the event you issue a purchase order or other instrument
  112. concerning the Product, it is understood that such purchase order or other
  113. instrument is for your internal purposes only and any and all terms
  114. contained therein, whether printed or written, shall be of no force or
  115. effect.
